These Terms of Service ("Terms") govern your purchase and use of software packages and related implementation services provided by Downing Systems ("we," "us," or "our"). By purchasing a package or using our services, you agree to these Terms.
Downing Systems is an authorized software reseller. We provide business software — e-commerce, marketing automation, and AI tools — together with configuration, guided onboarding, training, and a defined support window, delivered in the package tiers described on our site (Essentials, Professional, and Enterprise). The specific deliverables and support window for your engagement are those stated for the package you purchase.
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable license to use the software and configured deliverables provided under your package for your own business operations. Where third-party software or platforms are included, your use is additionally subject to those providers' own terms. You may not resell, sublicense, or redistribute the software except as expressly authorized in writing.
Package prices are one-time fees for the deliverables and support window described for that package. Fees are due as stated at purchase. Certain third-party services (for example payment processing, domains, messaging, or hosting) may carry their own ongoing costs billed by those providers; these are separate from our one-time package fee and are your responsibility unless expressly stated otherwise.
Purchases may be refunded in full only within 72 hours of purchase and before implementation has begun. After that, all sales are final and non-refundable. See our Refund & Returns Policy for full details, including our repair/re-deliver support commitment.
To deliver your package, we rely on your timely cooperation. You agree to:
Delays caused by incomplete or late information may extend delivery timelines.
You agree not to use the software or services to: send unlawful, deceptive, or unsolicited communications in violation of applicable law; infringe intellectual property or privacy rights; distribute malware; or attempt to reverse-engineer, resell, or circumvent licensing of the platform. We may suspend services for violations of this section.
The underlying platform, software, and any tools, templates, or methodologies we provide remain the property of Downing Systems and its licensors. Content and data you supply remain yours; you grant us a limited license to use it solely to deliver and support your services. Configurations built specifically for you are licensed to you for your business use as set out in Section 2.
Downing Systems provides software and implementation services only. We do not guarantee any specific revenue, income, sales, or business outcome. Results depend on many factors outside our control, including your market, effort, and execution. No statement on our site or in these Terms constitutes a promise of earnings.
We will deliver the package deliverables with reasonable skill and care, and will repair, reconfigure, or re-deliver a delivered component that does not function as described (see the Refund Policy). Except as expressly stated, services and software are provided "as is" without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.
To the maximum extent permitted by law, Downing Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our total aggregate liability arising out of or relating to these Terms or your package will not exceed the amount you actually paid us for that package.
Our packages may integrate third-party platforms and services. We are not responsible for the availability, performance, pricing changes, or policies of those third parties. Your use of them is governed by their respective terms.
We may update these Terms from time to time. The version in effect at the time of your purchase governs that purchase. Continued use of our services after an update constitutes acceptance of the revised Terms.
These Terms constitute the entire agreement between you and Downing Systems regarding the services, superseding prior discussions. If any provision is found unenforceable, the remainder stays in effect.
